By submitting an order or quote request, you acknowledge that you have read, understood, and agree to be bound by these Terms of Trade. These terms constitute a legally binding agreement. For custom terms or exceptions, please contact our sales team before placing orders.
1. General Terms & Definitions
- These Terms of Trade govern all sales of frozen meat products between Global Win Co LLC (‘Seller’, ‘we’, ‘us’) and the buyer (‘Buyer’, ‘you’)
- “Products” refers to all frozen chicken, beef, and pork products listed in our catalog
- “Order” means a purchase order submitted by the Buyer and accepted by the Seller
- “Incoterms” refers to the International Commercial Terms 2020 published by the International Chamber of Commerce
- All orders are subject to availability and acceptance by Global Win Co LLC
- Prices are quoted in USD unless otherwise specified
2. Pricing & Payment Terms
Minimum Order Quantity (MOQ): 27 metric tons (MT) per product SKU
Prices are subject to change without notice until order confirmation
Volume discounts apply for orders exceeding 5 Full Container Load (FCL), 10 (FCL), and 20 (FCL) orders receive preferential pricing
PAYMENT TERMS:
• First Trial Order: A 30% Advance payment is required as procurement/commitment fees
• A Deposit against a Proforma Invoice for Slaughtering, Processing, and Packaging
• Reserve production allocation
• Book reefer containers
• Secure cargo allocation
• Activate order in our Export System
• Lock shipment window during peak export season
*Payment Terms From Second Shipment Onward*
– From the second shipment onward, the buyer may use:
*100% DLC (Documentary Letter of Credit)*
Conditions:
* Issued by a top-tier international bank
* Must be accepted by our bank or our partner’s banking institution
* DLC must be payable at sight or at the shipment date
* DLC must comply fully with all conditions in the Sales & Purchase Agreement (SPA)
All export invoice payments will be issued from the US to our official company account or to our partner’s account (BRF SA).
– Official BRF S.A. Payment Account for Asian, Middle East, EU, Latin American, and African Buyers.
All transactions through this account are monitored by BRF’s Export Compliance Department (Brazil) to ensure transparency, corporate verification, and alignment with BRF’s global financial system.
3. Delivery & Shipping Terms
- Available Incoterms: FOB (Free On Board), CIF (Cost, Insurance & Freight), CFR (Cost and Freight), EXW (Ex Works), DDP (Delivered Duty Paid)
- Standard lead time: 15-30 days from order confirmation
- FCL orders ship from the nearest facility (Brazil, South Africa, or Thailand)
- LCL (Less than Container Load) available with extended lead times
- Cold chain temperature maintained at -18°C throughout transport
- Buyer is responsible for customs clearance unless DDP terms are agreed upon
- Force majeure events may result in delivery delays without liability
4. Product Quality & Specifications
- All products certified: HALAL, HACCP, ISO 22000, and BRC
- Products conform to specifications in technical data sheets
- Shelf life: Minimum 18 months from production date at time of delivery
- Quality inspection available at the loading port (cost to Buyer)
- Certificate of Origin, Health Certificate, and Veterinary Certificate provided
- Products comply with the importing country’s food safety regulations
- Third-party lab testing available upon request (cost to Buyer)
5. Claims & Returns
- Quality claims must be reported within 7 days of delivery with photographic evidence
- Quantity discrepancies must be noted on the delivery receipt and reported within 48 hours
- Claims require: Commercial invoice, Bill of Lading, health certificates, photos/videos, and lab test results (if applicable)
- No claims accepted for damage due to improper storage or handling by Buyer
- Approved claims: Credit note issued or replacement shipment (Seller’s choice)
- Claims do not excuse payment obligations
- Defective products must be retained for inspection for 30 days
6. Liability & Insurance
- Seller’s liability limited to the invoice value of affected products
- Insurance included in CIF shipments; buyer must arrange under other terms
- Seller not liable for: delays due to customs, port congestion, weather; product deterioration after proper delivery; consequential or indirect damages
- Buyer assumes all risks upon delivery per agreed Incoterms
- Product liability insurance: USD 5,000,000 coverage maintained
- Claims must be made within 1 year of the delivery date
7. Intellectual Property & Confidentiality
- •All product images, technical data, and pricing are confidential
- •Buyer may not redistribute or share proprietary information with third parties
- •Brf Global Foods trademarks and logos remain our exclusive property
- •Private labeling available subject to separate agreement
8. Dispute Resolution & Governing Law
- •Disputes shall first be resolved through good faith negotiations
- •Unresolved disputes subject to arbitration under ICC Rules (International Chamber of Commerce)
- •Arbitration venue: Singapore (neutral jurisdiction for international trade)
- •Language: English
- •Governing Law: United Nations Convention on Contracts for the International Sale of Goods (CISG)
9. Modifications & Amendments
Global Win Co LLC reserves the right to modify these Terms of Trade at any time. Updated terms will be published on our website with the revision date. Continued business with us after modifications constitutes acceptance of the updated terms.
For specific orders, these terms may be supplemented or modified by written agreements, purchase orders, or proforma invoices. In case of conflict, the specific written agreement takes precedence.
